Recent Mandates Select Experience
Advised Coris Holding Group in connection with its proposed acquisition of the local subsidiaries of Standard Chartered Bank (UK) in Cameroon, Gambia and Sierra Leone, and the private banking activities of Standard Bank in Côte d'Ivoire, including legal and regulatory due diligence, preparation of binding offers, drafting and negotiation of transaction documents, and assistance through signing and closing.
Advised ETG (Dubai-based fertiliser trader) in connection with its acquisition of 100% of the shares of YARA Ivory Coast, including legal due diligence, drafting and negotiation of the share purchase agreement, and notification to the UEMOA Competition Commission.
Advised British American Tobacco (BAT) in connection with the transfer of trademarks registered with the African Intellectual Property Organisation (OAPI) and commercialised across West Africa (Niger, Guinea, Togo, Guinea-Bissau, Benin).
Co-counsel to Eutelsat in connection with the acquisition and transfer of telecommunications licences in Côte d'Ivoire and the Democratic Republic of Congo, including regulatory analysis on change of control requirements and applicable OHADA law.
Acted as local counsel to Globis Acquisition Corp. (Nasdaq-listed SPAC) in connection with its acquisition of Forafric Agro Holdings Limited's sub-Saharan subsidiaries across Benin, Burkina Faso, Côte d'Ivoire, Mali, Niger and Guinea-Bissau.
Co-counsel to Vitol and Vivo Energy in connection with the WAEMU competition clearance of Vitol's acquisition of Vivo Energy subsidiaries across Burkina Faso, Côte d'Ivoire, Mali, Niger and Senegal.
Advised Salama – Islamic Arab Insurance Company PSC (UAE) in connection with the sale of its Senegalese subsidiary Salama Senegal to Groupe Duval.
